Supplier Service Agreement
1. [Important Notice] This service agreement is jointly executed between Shanghe Star and registered suppliers (hereinafter referred to as "You", "Registered Supplier", "Supplier", or "Seller") who intend to operate stores on the Shanghe Star platform as independent third-party operators, and shall have contractual effect. The terms and conditions outlined herein apply to all tools and services provided by Scostar.cn to registered suppliers. Upon acceptance of this agreement, it shall immediately become legally binding between You, the suppliers you represent, and Scostar.cn. Your consent to this agreement and other rules may be expressed through: A. Clicking "I Agree" or equivalent actions; B. Verbal or written confirmation via email, phone, fax, instant messaging, etc.; C. Default consent clauses in this agreement and related rules (including service guidelines and usage assistance), where you click to agree or otherwise actively use our services; D. Other mutually recognized methods. Please carefully read all content of this service agreement, particularly the bolded sections, as these will substantially affect your rights and obligations. This Service Agreement encompasses the main text of this agreement and all rules, usage guidelines, service assistance materials, etc., that Scostar.cn has publicly released or may publicly release in the future (hereinafter referred to as "Service Rules"). All publicly disclosed rules form an integral part of this agreement and hold equal legal force with the main text. The rights and obligations under the Service Rules shall be performed by Shanghai Union Star (Hong Kong) International Trade Co., Ltd. You should read, understand, and accept the Service Rules simultaneously. Scostar.cn reserves the right to formulate and modify this agreement or various rules from time to time within the scope permitted by law. If any changes are made to this agreement, Scostar.cn will solicit public opinions on the website in accordance with relevant laws and notify registered suppliers of the revised content. If a registered supplier disagrees with the changes, they must cease using the "Service". The revised agreement becomes automatically effective upon publication on the Scostar.cn website and fulfillment of statutory notice requirements. All rules become part of this agreement after their official release. Logging into or continuing to use the "Service" indicates that the registered supplier accepts the revised agreement. Except as otherwise expressly stated, any new content expanding the scope of the "Service" or enhancing website functionalities is subject to this agreement.
2. Scostar.cn Supplier Registration and Certification 2.1 Scostar.cn Supplier Account 2.1.1 An Scostar.cn supplier refers to an individual or organization that completes the Scostar.cn supplier registration process, submits certification applications to the Scostar.cn, obtains Scostar.cn authorization, and sells products to users through the Scostar.cn platform. After completing this registration, the Scostar.cn will assign a corresponding Scostar.cn supplier account to the supplier. 2.1.2 The Scostar.cn supplier account serves as the basis for identifying you and providing services. As the Scostar.cn supplier account is closely linked to your contact information and business details, you are responsible for maintaining the confidentiality of your login account, restricting third-party access to your computer or mobile devices, and ensuring that your login password (if set) is not disclosed to any third parties. 2.2 Scostar.cn Registered Supplier Qualifications 2.2.1 Scostar.cn Registered suppliers must be legally authorized entities or individuals that meet the Scostar.cn's operational qualification requirements: (1) The supplier must hold valid market entity registration in accordance with applicable laws; (2) If the goods or services sold require administrative permits for specific business entities or products/services, the supplier and such items must obtain the necessary permits as required by law; (3) All market entity registrations and administrative permits for goods/services must have been approved by the Scostar.cn and passed its periodic verification; (4) Both the Scostar.cn-registered representative and any transactional agents operating under the supplier's name must possess valid authorization from the supplier to act on their behalf, and must be natural persons with full legal capacity. 2.2.2 If a company registered as an Scostar.cn supplier fails to meet any of the requirements specified in Clause 2.2.1, upon discovery, Scostar.cn reserves the right to immediately suspend all usage privileges of the supplier's Scostar.cn account. Any resulting losses shall be borne by the supplier. Scostar.cn reserves the right to pursue suppliers for damages and other legal liabilities arising from their use of Scostar.cn network "services". 2.3 Supplier Qualification Certification Rules 2.3.1 General Eligibility Requirements and Specifications (1) Registered with an Scostar.cn supplier account; (2) The individual must be a Chinese citizen aged between 18 and 70 years old with full civil capacity; (3) Enterprises must be Chinese mainland companies or Hong Kong enterprises; (4) Suppliers must be validly incorporated companies established under mainland China laws and the Hong Kong Special Administrative Region, possessing full legal person status and capacity. Individuals must be natural persons with full civil capacity who can fulfill obligations under this agreement without violating legally binding documents binding on suppliers. (5)Scostar.cn) Has the authority to review certification materials and decide whether to approve supplier certification applications. If a supplier obtains Scostar.cn certification, the platform will provide them with a product display page ("Product Page"). Upon completing the Scostar.cn store application process, suppliers will receive a store page ("Store Page"). Suppliers retain the right to maintain both product and store pages. They must prominently display business license information, relevant administrative permits (if applicable), or links to such documents on the homepage of their product/store pages. Valid contact details including business address, phone number, and email should also be clearly shown, with timely updates when any information changes. If the supplier is an individual, they must agree that Scostar.cn may legally display on the homepage a valid identification mark proving personal identity legitimacy and a statement regarding circumstances exempt from market entity registration. (6) Suppliers fully understand and consent to Scostar.cn's right to disclose certification materials and other necessary information provided on the platform to third parties (including but not limited to users, market supervision authorities, tax departments, etc.) in accordance with relevant laws, regulations, and platform rules. (7) For clarity, the certification conducted by Scostar.cn shall not exempt suppliers from their statutory and contractual obligations as sellers regarding product/service quality assurance and defects liability. If supplier-certified materials contain inaccuracies, falsifications, forgeries, expiration dates, incompleteness, or other defects, the supplier shall fully compensate Scostar.cn and other Scostar.cn users for all resulting losses. Scostar.cn reserves the right to immediately terminate this agreement and remove the supplier's information from relevant Scostar.cn interfaces. (8) Should any item in the supplier's certification materials (excluding entity information) undergo changes, expire, become incomplete, or exhibit other defects, the supplier must promptly update or supplement the information. Scostar.cn retains the right to periodically verify the authenticity, validity, and completeness of the supplier's certification materials. If Scostar.cn determines that the supplier has failed to timely update or supplement information, it may suspend services and request information updates. All risks, losses, and consequences arising therefrom shall be borne by the supplier. SCOSTAR.com Scostar.cn reserves the right to remove the supplier's information from relevant Scostar.cn interfaces and suspend or terminate services, with all resulting losses being solely the responsibility of the supplier.
2.3.2 Number of Registered Accounts
(1) The number of enterprise seller accounts registered with the same business license shall not exceed 10;
(2) The number of individual seller accounts registered with the same identity information shall be limited to 1.
2.3.3 Certification Information Compliance
(1) Store Name Compliance If a seller's username violates the following regulations, Shanghe Star reserves the right to modify the username or close the store based on the impact scope and severity: A. The username must not exclusively use Chinese national names, flags, emblems, military banners, medals, or names of specific locations of central government agencies, unless the enterprise name inherently contains such content; B. Must not exclusively use foreign national names; C. Must not contain information that violates national laws, infringes upon others' rights, or disrupts Shanghe Star's website operations; D. Must not exclusively use county-level administrative region names or publicly known foreign place names; E. Must not contain exaggerated promotional claims or deceptive content; F. Must not include obscene, insulting, discriminatory, or aggressive terms; G. Must not contain language or offensive content involving ethnic discrimination, racial prejudice, hatred, sexual innuendos, or other objectionable material; H. Must not contain ambiguous wording that could mislead users or infringe upon legitimate rights of other users or third parties; I. Must not include contact details such as email addresses, URLs, phone numbers, QQ IDs, MSN addresses, etc.; J. Must not contain third-party brand terms (including Shanghe Star's official nameScostar.cn) or celebrity names; K. Must not contain misleading terms like "PowerSeller" or "TopSeller"; L. Must not contain any trademark infringement content. M. Stores established by individuals with names containing "company/group" or similar terms that mislead users into believing they are businesses or controlled by enterprises; N. Names must not contain any content violating current laws, regulations, or normative documents. (2) Identity Information Compliance Enterprise sellers shall submit the following materials to Scostar.cn for verification: A. Business license information (must include "Unified Social Credit Code"); B. Email address; C. Valid contact person; D. Valid mobile phone number; E. Valid contact address/business address; F. Proof of legal registration as a market entity. For products awaiting release requiring administrative permits, sellers must submit relevant licenses to Scostar.cn, as specified in the "Business Category Management Rules". H. Sellers operating products requiring administrative permits must submit such permits to Scostar.cn, as detailed in the "Business Category Management Rules". If an enterprise seller lacks required qualifications, Scostar.cn reserves the right to immediately block, delete related product pages or business store pages, or freeze the seller's account upon discovering deficiencies in qualification documentation. I. Other materials required by Scostar.cn. J. The registrant must be the legal representative of the registered company or a fully authorized agent authorized by the company to operate related business stores. For details, please refer to the "Power of Attorney" template. K. The registered company shall be the holder and sole responsible party for the seller account on the Shanghai Cooperation Star website. L. Both the seller and registrant must provide accurate, valid, and complete personal information. Individual sellers must submit the following documents to SCOSTAR.com for verification: A. ID card information; B. Email address; C. Valid contact phone number; D. Valid contact address/business address; E. Proof of lawful market entity registration (if exemption applies, submit the "Declaration and Commitment for Exemption from Market Entity Registration"); F. Administrative permits required for product listing (submit to Scostar.cn if applicable); G. Administrative permits required for product listing (submit to Scostar.cn if applicable). If an individual seller lacks the required qualifications, Scostar.cn reserves the right to immediately block, delete related products/seller pages, or freeze the seller's account upon discovering deficiencies in qualification documentation. H. Other materials required by Scostar.cn. I. The registrant must be the account holder and sole responsible party.
2.3.4 Payment of Certification Fees: Suppliers shall pay certification fees in accordance with the procedures specified by Scostar.cn. Failure to make such payments will be deemed as abandonment of the certification application.
2.4 Supplier Accounts and Liability for Activities Under the Account
2.4.1 Suppliers shall assume full responsibility for all activities conducted under their registered accounts. Suppliers shall bear legal liabilities and losses arising from unauthorized third-party use or control of the account, except where caused by intentional misconduct by Scostar.cn.
2.4.2 To avoid disputes, suppliers shall not transfer their accounts, whether for compensation or free of charge, without prior consent from Scostar.cn. Any resulting liabilities shall be borne by the supplier, and Scostar.cn reserves the right to pursue legal action against the responsible party.
3.Scostar.cn Rights and Obligations of Registered Suppliers
3.1 Providing and Updating Supplier Information Truthfully Scostar.cn Registered suppliers are obligated to provide accurate information during registration as required by Scostar.cn. They must promptly update any changed details and ensure the validity and security of essential contact details including email addresses, phone numbers, mailing addresses, and postal codes. This ensures that Scostar.cn and other Scostar.cn Purchasers (hereinafter referred to as "Purchasers" or "Buyers") can effectively communicate with them through these established channels. Scostar.cn Registered suppliers shall ensure that no unauthorized third-party materials are registered or authenticated on the Scostar.cn platform. Any losses incurred by third parties or the Scostar.cn platform due to such actions shall be borne by the respective Scostar.cn registered suppliers.
3.2 Authorization and Disclosure of Business Licenses Scostar.cn Registered suppliers shall authorize and cooperate with the Scostar.cn to continuously display business license information, administrative permit details related to their operations, or relevant links in a prominent position on their homepage. Such information must be updated promptly when changes occur. The specific disclosure format shall comply with the unified standards published by the Scostar.cn. For registered suppliers that are legally exempt from market entity registration and provide relevant explanations and commitments, the Scostar.cn reserves the right to display special identification marks in a prominent position on their homepage.
3.3 Intellectual Property Protection Obligations 3.3.1 Scostar.cn Registered Suppliers 'Supplier Information ("Supplier Information") includes any materials provided by them to Scostar.cn or other users during account registration, transaction processing, product listing, public communications, emails, internal messages, or other means. This encompasses supplier profiles, product details, data, text, software, music, audio clips, photos, graphics, videos, lyrics, or other content as specified in Article 3.1. Scostar.cn Registered Suppliers shall ensure that their Supplier Information and posted content do not infringe upon third-party intellectual property rights or legitimate interests, nor violate applicable laws, regulations, or rules. They shall bear full responsibility for such actions, while Scostar.cn merely serves as a platform for online publication of Supplier Information. Scostar.cn Registered Suppliers must refrain from using Scostar.cn's AI-powered services to create, reproduce, distribute, or disseminate information prohibited by law or administrative regulations. They are also prohibited from engaging in activities that endanger national security, harm national interests, damage national reputation, infringe public welfare, disrupt economic and social order, or violate others' legal rights under applicable laws and administrative regulations. However, if Scostar.cn determines that any of the aforementioned information released by a supplier may subject Scostar.cn to legal or moral liability, or may cause Scostar.cn (in whole or in part) to lose access to services from Scostar.cn's Internet Service Provider or other suppliers, Scostar.cn reserves the exclusive right to take any actions deemed necessary or appropriate regarding supplier materials and published information, including but not limited to blocking or deleting such materials. Scostar.cn shall guarantee and confirm full rights over supplier materials and published information submitted to Scostar.cn, including all copyrights; Scostar.cn bears no responsibility for determining which materials submitted by registered suppliers should be protected, nor shall it be liable for third parties' use of publicly available supplier materials and published information by other users enjoying "services". 3.3.2 The Scostar.cn platform prohibits the sale and display of products infringing intellectual property rights. Scostar.cn commits to protecting intellectual property rights and is willing to cooperate with law enforcement agencies and intellectual property rights holders in managing goods related to registered suppliers' logins, uploads, or displays on Scostar.cn. 3.3.3Scostar.cn Commit to fulfilling the intellectual property protection obligations stipulated in the E-Commerce Law, and is willing to cooperate with intellectual property rights holders to resolve related issues.
3.4 Fees 3.4.1 It is specifically noted that all supplier quotations for products listed on the Scostar.cn website include Scostar.cn's commission and bank transfer fees incurred after successful transactions (specific ratios and pricing methods are detailed in the "Help" section of the Scostar.cn Supplier Page). Registered suppliers on Scostar.cn are responsible for maintaining and updating price information in real-time based on actual circumstances. Any transaction failures or losses caused by incorrect product prices, outdated product information, or untimely product updates shall be solely borne by the registered suppliers. 3.4.2 As a neutral technical service provider, this platform only offers information publishing, transaction matching, and technical support services without directly participating in transactions. The platform provides no explicit or implied guarantees regarding transactions between suppliers and buyers. All taxes, office expenses, and other costs incurred by registered suppliers through using Scostar.cn for transactions, obtaining paid services, or accessing Scostar.cn network servers shall be borne by the registered suppliers themselves. 3.4.3 Scostar.cn has the right to charge service fees from you, with specific fee rules to be notified in advance and displayed on the Scostar.cn's relevant rules page. 3.5 Product Posting and Order Fulfillment 3.5.1Scostar.cn Registered suppliers selling products or providing services on the Scostar.cn platform must comply with requirements for personal and property safety as well as environmental protection. They are prohibited from selling or providing items banned or restricted for sale, trading goods that may cause the Scostar.cn to violate any relevant laws, regulations, or rules, or engaging in transactions that infringe upon others' intellectual property rights or legitimate interests. Additionally, they must not trade items that contravene public interest or social ethics, or those deemed unsuitable for online sales by the Scostar.cn. If the Scostar.cn discovers non-compliant products sold by suppliers, it reserves the right to immediately remove, block, or delete such product links and impose penalties on the supplier. 3.5.2Scostar.cn Registered suppliers must provide purchase receipts or service documents such as paper invoices or electronic invoices when selling products or providing services. Electronic invoices hold equal legal validity as paper invoices. 3.5.3 Scostar.cn Registered suppliers shall disclose product/service information comprehensively, truthfully, accurately, and promptly to safeguard buyers 'rights to information and choice. They must not engage in fraudulent or misleading commercial practices such as fabricating transactions or user reviews to deceive buyers. When sending advertisements to buyers, they shall comply with the Advertising Law of the People's Republic of China. 3.5.4 SScostar.cn When bundling products/services, registered suppliers shall prominently notify buyers and must not present bundled items as default options. 3.5.5 Scostar.cn Suppliers shall deliver goods/services to buyers according to commitments or agreed terms and timelines, bearing risks and liabilities during transportation. Exceptions apply if buyers select alternative logistics providers or applicable laws stipulate otherwise. 3.5.6 Suppliers are obligated to fulfill orders legally effective on the Scostar.cn platform, including delivery time, location, quantity, configuration, quality, and pricing. Suppliers shall ensure product safety, legality (including mandatory certifications and intellectual property rights). 3.5.7Scostar.cn Upon receiving payment notifications for Scostar.cn orders, registered suppliers shall commence inventory preparation and deliver goods in accordance with order specifications. When the purchaser receives and confirms the goods, Scostar.cn will process the payment release to the supplier. Registered suppliers are obligated to submit payment requests to Scostar.cn after confirming with freight companies that the goods have been properly delivered. Upon verification by Scostar.cn, the payment release will be processed. Any trade disputes arising from quality, quantity, or other terms shall be resolved through negotiation between the buyer and seller, or through arbitration, litigation, or other legally permissible methods. After dispute resolution, Scostar.cn will complete delivery in accordance with the ruling, judgment, or mutual agreement. 3.5.8 Registered suppliers must maintain constant communication with Scostar.cn. They should confirm the delivery status of goods after shipment and retain shipping records to provide sufficient evidence if PayPal withdraws payment, enabling Scostar.cn to assist in resolving such situations. 3.5.9 Suppliers are responsible for product after-sales services, as specified in order information. Suppliers shall bear all costs associated with after-sales services during the warranty period.
3.6 Personal Information Protection 3.6.1 Scostar.cn Registered suppliers shall comply with applicable laws, administrative regulations, and Scostar.cn's personal information protection provisions when collecting or using buyers' personal information. 3.6.2 The contact name, telephone number, ID number, business license number, unified social credit code, and relevant verification documents submitted by Scostar.cn registered suppliers to Scostar.cn in accordance with Scostar.cn's service rules are necessary for fulfilling their statutory obligations in supplier information authentication. For the purpose of verifying the authenticity of supplier information, Scostar.cn reserves the right to submit such verification documents to third-party legitimate institutions for authenticity verification. Such verification shall not be deemed as a breach of Scostar.cn's corresponding personal information protection obligations. 3.6.3 To fulfill legal or regulatory requirements, Scostar.cn may disclose your identity information and tax-related information to relevant regulatory authorities or their authorized agencies. Such information disclosure shall not be considered a violation of Scostar.cn's personal information protection obligations. 3.6.4 Scostar.cn registered suppliers agree to receive promotional information from Scostar.cn's website. 3.7 Fair Competition Obligations 3.7.1Scostar.cn Suppliers shall ensure compliance with the principle of good faith when conducting transactions through the Scostar.cn Online Wholesale Trading Platform. They must refrain from abusing their dominant market position, engaging in unfair competitive practices during transactions, disrupting normal online trading order, or performing activities unrelated to online transactions. Suppliers are prohibited from maliciously evaluating registered buyers or suppliers on the Scostar.cn platform, or using improper means to enhance their own credibility while diminishing that of other registered parties. 3.7.2 Registered Suppliers agree not to commercially utilize information and materials on the Scostar.cn website, including but not limited to reproducing or disseminating any content displayed on the platform without prior written authorization from Scostar.cn. 3.8 Non-Infringement Obligations 3.8.1Scostar.cn Registered suppliers commit to complying with laws, regulations, and Scostar.cn provisions applicable to their jurisdiction and transaction location, as well as public interests and ethical standards. Scostar.cn assumes full legal responsibility for all consequences arising from such actions. 3.8.2 Scostar.cn Registered Suppliers agree to compensate Scostar.cn for all losses incurred if they violate applicable laws, breach the terms of this Agreement, or infringe upon third-party rights, resulting in any losses, claims from third parties, or penalties from regulatory authorities. 3.8.3 Suppliers hereby warrant that all product information, images, videos, and other content they publish are either original works or legally authorized. Suppliers shall bear full legal liability for intellectual property disputes arising from their content and compensate the Platform for any resulting damages
4. Scostar.cn Rights, Responsibilities and Obligations of the Website 4.1Scostar.cn The website is solely responsible for providing a product display platform and an online wholesale trading platform for registered suppliers. However, Scostar.cn does not directly participate in purchasing or selling activities as a buyer or supplier. Scostar.cn cannot guarantee the authenticity, accuracy, legality, or validity of buyers and related information, nor can it ensure the ability of both parties to fulfill their obligations under trade agreements. Nevertheless, Scostar.cn will implement monitoring and evaluation measures for buyers, publicly disclose assessment results, and advise registered suppliers to independently assess buyer credibility through prudent judgment. 4.2 Scostar.cn maintains the normal operation of the online trading platform using existing technology and strives to enhance technical capabilities to facilitate smooth transactions for registered suppliers. However, Scostar.cn assumes no responsibility for temporary network outages caused by data maintenance or updates. 4.3 For any issues or feedback encountered by registered suppliers during registration or use of the online wholesale trading platform, Scostar.cn shall promptly respond. 4.4 Scostar.cn reserves the right to delete relevant information, freeze accounts, terminate service provision, or take other actions at any time regarding misconduct, illegal activities, or any circumstances deemed by Scostar.cn as warranting service termination on the Scostar.cn online trading platform, without requiring prior consent from registered suppliers. 4.5 Due to the unique nature of online trading platforms, except for mandatory legal provisions, Scostar.cn is not obligated to conduct prior reviews of all transaction behaviors and related matters of registered suppliers. However, in the following situations: 4.5.1 When a registered supplier or third party notifies Scostar.cn that specific transactions or suppliers may involve significant issues; 4.5.2 When a registered supplier or third party informs Scostar.cn of illegal or improper conduct on the platform, and such content or behavior can be clearly identified as unlawful or improper based on the knowledge level of ordinary non-professional traders; Scostar.cn retains the right to retain or delete relevant information, continue or suspend services to the supplier, and pursue legal liabilities as appropriate. 4.6 Scostar.cn As an electronic trading platform, it shall adhere to the following principles: 4.6.1 Except for fulfilling statutory obligations, it will never create, review, edit, check, or verify user login content; 4.6.2 After a transaction is completed, Scostar.cn will not be responsible for transportation, storage, or delivery. The item will be directly transferred from the supplier to the buyer, and the item itself will never be held by or under the control of Scostar.cn; 4.6.3Scostar.cn It strictly prohibits offline transactions between buyers and sellers, and assumes no liability for any non-compliant transactions; 4.6.4Scostar.cn It lacks professional expertise regarding third-party intellectual property rights, trademarks, copyrights, patents, distribution rights, or pricing systems. 4.6.5Scostar.cn The service may contain content generated by AI. These services are provided based on "current status" and "availability," with no warranties of perfection. To the maximum extent permitted by law, Scostar.cn shall not assume any express or implied warranty liability, including but not limited to merchantability or fitness for a particular purpose. Registered suppliers must bear all risks associated with using AI-generated services. 4.7 Scostar.cn will not and cannot participate in transactions between any parties involved. If a registered supplier with Scostar.cn has disputes with other suppliers or purchasers using Scostar.cn services, the Scostar.cn-registered supplier shall be exempt from liability for any (actual and consequential) claims, demands, or damages arising from such disputes or in any way related to them. 4.8 If a registered supplier discovers that another registered supplier has violated laws or breached this Service Agreement, it may report the matter to Scostar.cn for resolution. Should a registered supplier engage in online transactions with other registered purchasers on Scostar.cn and disputes arise from these transactions, and if the purchaser requests Scostar.cn to mediate, both parties shall agree to allow Scostar.cn to review original contracts, transaction records, and communication logs on the platform, and accept and implement Scostar.cn's mediation decisions. Should a registered supplier with Scostar.cn initiate litigation against other registered suppliers or purchasers through online transactions, the Scostar.cn-registered supplier reserves the right to request relevant materials from Scostar.cn through judicial authorities. 4.9 Scostar.cn Registered suppliers shall have the right (but not obligation) to mediate and resolve disputes arising from transactions with purchasers through Scostar.cn Online Transactions when the purchaser requests mediation or resolution by Scostar.cn. Scostar.cn may contact both parties via email to gather information and notify each other accordingly. The resolution of disputes through Scostar.cn Online Transactions shall not be legally binding and shall not affect the legal rights of either party. Scostar.cn shall make independent judgments based on the information gathered but shall not bear any legal liability for the resolution outcome, nor shall it be liable for compensation obligations arising from assisting in dispute resolution. 4.10 Scostar.cn If a registered supplier engages in litigation with other registered suppliers or purchasers through Scostar.cn Online Transactions, the supplier shall actively cooperate and provide relevant materials as required by judicial authorities or administrative departments through legal procedures. 4.11 The Scostar.cn shall have the right to publicly disclose the illegal acts of registered suppliers on the Scostar.cn website through online publication, provided that: Scostar.cn such acts are confirmed by effective national legal documents or administrative penalty decisions; Scostar.cn there is sufficient factual or legal basis to determine that the registered supplier has committed illegal acts or violated service agreements; 4.12 The following types of information posted by registered suppliers on the Scostar.cn trading platform shall be subject to deletion or other restrictive measures without prior notice to the registered supplier: 4.12.1 Information intended to evade fees or manipulate credit ratings; 4.12.2Scostar.cn Content with reasonable grounds to suspect fraudulent or malicious intent; 4.12.3Scostar.cn Information unrelated to online transactions or not transaction-oriented; 4.12.4Scostar.cn Information indicating malicious bidding or attempts to disrupt normal trading order; 4.12.5 Information that the Scostar.cn reasonably believes violates relevant laws, public interests, or may seriously harm the legitimate interests of the Scostar.cn and other registered suppliers or purchasers. The Scostar.cn reserves the right to delete such information or impose other restrictive measures without prior notice. 4.13 License usage rights. Scostar.cn The Registered Supplier hereby grants Scostar.cn an exclusive, worldwide, perpetual, and royalty-free license (with the right to sublicense), authorizing Scostar.cn to use, reproduce, modify, distribute, publish, translate, disseminate, perform, or display all information published by the Registered Supplier on its website or derivative works thereof, and/or incorporate such information into other works through any form, medium, or technology now known or subsequently developed. The Registered Supplier's necessary authorization and consent do not imply that Scostar.cn must utilize content generated during the AI services process, nor do they alter Scostar.cn's ownership of the generated content or the attribution of intellectual property rights, nor affect Scostar.cn's lawful use of user-generated content.
4.14 Privacy Policy. Although the license and usage rights specified in Article 4.12 above apply, Scostar.cnwill not sell or lend Scostar.cnthe personal information of registered suppliers to any third party without prior authorization; nor will it permit any third party to collect, edit, sell, or disseminate such information through any means. However, Scostar.cnreminds Scostar.cnregistered suppliers that once they voluntarily disclose their data to Scostar.cnthe system, such information may be accessed and utilized by others. The disclosure may occur partially or entirely under the following circumstances: 4.14.1 With the supplier's consent, disclosing to third parties; 4.14.2 Upon written request from the respondent if the party is a qualified intellectual property claimant who has filed a complaint, to facilitate dispute resolution between both parties; 4.14.3 To comply with legal requirements or administrative/judicial mandates; 4.14.4 When required to disclose information to third parties due to violations of Chinese laws or website policies; 4.14.5 Sharing supplier data for providing requested products/services; 4.14.6 Other disclosures deemed appropriate by Scostar.cnin accordance with applicable laws or website policies, while ensuring compliance with Chinese regulations. 4.15 Exclusions Scostar.cn Registered suppliers expressly understand and agree that Scostar.cn shall not be liable for any damages arising from any of the following circumstances, including but not limited to losses in profits, goodwill, usage, data, or other intangible damages: 4.15.1 Failure to utilize or access Scostar.cn services; 4.15.2 Unauthorized third-party access or modification of your transmitted materials/data; 4.15.3 Third-party statements regarding website services or actions related to such services; or any other matters concerning the website caused by any reason, including negligence. 4.15.4Scostar.cn Payments made by registered suppliers to Scostar.cn purchasers may be reported by purchasers to PayPal, credit card organizations, or credit card issuers, leading to PayPal ruling in favor of purchasers or refusal of payment. In such cases, Scostar.cn registered suppliers shall actively cooperate. Scostar.cn will assist them in communicating with PayPal, credit card organizations, credit card issuers, and purchasers based on evidence provided by Scostar.cn registered suppliers. However, as the final outcome of such situations is beyond Scostar.cn's control and decision-making, Scostar.cn shall not bear any transaction losses arising therefrom. 4.16 Assignment. Scostar.cn The Registered Supplier hereby confirms and agrees that Scostar.cn reserves the right to unilaterally transfer this Agreement without requiring its consent. 4.17 Scostar.cn The Registered Supplier further confirms and agrees that Scostar.cn may, where permitted by law, offset all or part of your debt to Scostar.cn with funds retained by you at Scostar.cn. 5. Service Interruption and Termination 5.1 Scostar.cn The Registered Supplier acknowledges that Scostar.cn may, at its sole discretion and for any reason (including but not limited to: Scostar.cn's determination that you have violated the literal or spirit of this Agreement, acted in a manner inconsistent with the literal or spirit of this Agreement, or failed to log into the website using your account and password for over 90 days), terminate the Registered Supplier's "Service" password, account (or any part thereof) or your use of the "Service", and delete (no longer retain) the "Registered Supplier Information" submitted by the Registered Supplier during the use of the "Service". Subject to compliance with disclosure obligations under the E-Commerce Law, Scostar.cn reserves the right to cease providing the "Service" or any part thereof. Upon account termination, except for information required by law to be retained, Scostar.cn shall not retain any information from or related to the original account, nor forward any unread or untransmitted messages to you or third parties. Additionally, you agree that Scostar.cn shall not be liable to you or any third party for terminating your access to the "Service". 5.2 If a registered supplier requests Scostar.cn to cancel its supplier status, and upon approval by Scostar.cn, the supplier's account will be canceled. The supplier shall terminate its service agreement with Scostar.cn but must publicly display relevant information on the homepage for thirty days in a prominent position. After cancellation, Scostar.cn retains the following rights: 5.2.1 May delete the supplier's personal information as required by applicable laws or anonymize it. Other content and information retained by the supplier on Scostar.cn may continue to be stored according to legal deadlines and methods. 5.2.2 If a registered supplier engaged in illegal activities or contractual violations on the Scostar.cn trading platform prior to cancellation, Scostar.cn may still exercise rights stipulated in this Service Agreement. 5.2.3 For transaction orders generated by registered suppliers during the term of this Agreement, Scostar.cn may cancel such orders and may independently decide to refund fees or deduct relevant fees as liquidated damages. 5.3 Under the following circumstances, Scostar.cn shall have the right to terminate services by deregistering the Scostar.cn-registered supplier: 5.3.1 When a Scostar.cn-registered supplier violates the relevant provisions of this Service Agreement, Scostar.cn has the right to suspend or terminate services provided to that Scostar.cn-registered supplier. Scostar.cn shall notify the Scostar.cn-registered supplier when suspending services. However, if the Scostar.cn-registered supplier is re-registered directly, indirectly, or under another name after being terminated by the Scostar.cn, the Scostar.cn reserves the right to immediately or upon discovery of such circumstances unilaterally refuse or terminate services to that supplier. 5.3.2 If the Scostar.cn verifies through information provided by the Scostar.cn-registered supplier that their registered email address no longer exists or cannot receive emails, and the supplier fails to provide a new address within three working days after receiving a notification from the Scostar.cn through alternative contact methods, SCOSTAR.com reserves the right to terminate services to that supplier. 5.3.3 The Scostar.cn may terminate services to any Scostar.cn-registered supplier at any time if false information is discovered in their supplier profile. 5.3.4 Should this Service Agreement be terminated, supplemented, or modified without the Scostar.cn-registered supplier confirming the new agreement through formal confirmation or consent. 5.3.4 Other Scostar.cn Circumstances Requiring Service Termination. 5.4 Handling of Pre-Service Interruption/Termination Transactions by Registered Suppliers If the Scostar.cn service is interrupted or terminated due to violations of laws, regulations, or service agreement terms by a registered supplier, the following principles shall apply to their transactions prior to service interruption or termination: 5.4.1 For items uploaded to the Scostar.cn website but not yet traded or completed prior to service interruption or termination, the Scostar.cn reserves the right to delete all related information simultaneously with service termination. 5.4.2 For orders confirmed between the Scostar.cn and buyer prior to service interruption or termination, the Scostar.cn may close such transaction orders and may independently decide to refund fees or deduct relevant charges as liquidated damages. 5.4.3 For transactions where the Scostar.cn and buyer have reached preliminary agreements but not yet commenced delivery (limited to order confirmation), the Scostar.cn may close such transaction orders and may independently decide to refund fees or deduct relevant charges as liquidated damages. If the transaction has been delivered, Scostar.cn may not delete the transaction and may allow the transaction to be completed, including the disbursement to the registered supplier, provided that Scostar.cn is entitled to notify the Purchaser of the interruption or termination of the service and the interruption or termination of the service of the Scostar.cn registered supplier.
6. Restrictions on Using Scostar.cn When using Scostar.cn, you must not: 6.1 Post content or items in inappropriate categories, websites, or services; 6.2 Violate any laws, third-party rights, or our policies (e.g., prohibited and regulated items policy); 6.3 Use our website or services while unable to enter into binding contracts, under the age of 18, or when temporarily or indefinitely suspended by the site; 6.4 Deliver goods purchased by others unless the buyer has violated terms or you cannot verify the buyer's delivery address; 6.5 Manipulate product prices or interfere with other members' logins; 6.6 Avoid or manipulate our payment systems, payment processes, or Scostar.cn fees; 6.7 Attempt to compromise the security systems or functionality of this website; 6.8 Post false, misleading, defamatory, or slanderous content (including personal information); 6.9 Engage in actions that damage credit rating systems (e.g., displaying, transferring, or using credit data for purposes unrelated to Scostar.cn); 6.10 Transfer your Scostar.cn account (including credit ratings) or membership to another person without our consent; 6.11 Spread or post spam, chain letters, or pyramid schemes; 6.12 Disseminating viruses or any technology that may harm the interests or property of Scostar.cn or other users; 6.13 Copying, modifying, or disseminating website content and the copyright and trademarks of Scostar.cn; 6.14 Collecting member information (including email addresses) without other users' consent through any means. 7. Notifications 7.1 Notifications shall be sent via email or other mutually agreed methods. The notification shall be deemed delivered 24 (twenty-four) hours after the email is sent. Alternatively, Scostar.cn may send notifications via prepaid registered mail with a request for a return receipt to the address provided by the registered supplier during the registration process. In such cases, the notification shall be deemed delivered three (3) days after the postage payment date. 8. Force Majeure 8.1 Scostar.cn shall not be liable for delays, failures, or incomplete performance of obligations due to reasons beyond reasonable control. Such circumstances include, but are not limited to: earthquakes, typhoons, floods, wars, terrorist activities, riots, strikes, nationwide industry policy adjustments, government actions, network transmission failures, network provider causes, hacker attacks, and other force majeure events. 9. Liability and Compensation for Breach 9.1 You must respect the ownership and intellectual property rights of us and any third parties. If we have reasonable evidence proving your infringement, we reserve the right to claim liability for infringement. Meanwhile, you shall fully compensate us for all losses incurred due to your infringement, including but not limited to arbitration fees, litigation costs, attorney fees, travel expenses, and all reasonable expenses we incur as a result. 9.2 If you are reported or complained by other users, or if we have reasonable evidence that you are suspected of violating relevant laws and regulations, the terms of this Agreement, privacy policies, or other provisions of Scostar.cn, we reserve the right to review (including but not limited to examining all user information and materials, chat records, etc.), delete, block, or suspend relevant content at any time without prior notice. Depending on the severity of the violation, we may impose penalties including warnings, restrictions or bans on partial or full functionality, account suspension until cancellation, freezing, and/or deduction of all or part of fees payable to you as liquidated damages for breaching laws and regulations and the terms of this Agreement. We have the right (but no obligation) to announce handling results and may notify public security authorities when necessary. 9.3 You understand and agree that we have the right to impose penalties for violations of laws and regulations or the terms of this Agreement based on reasonable judgment, take appropriate legal actions against any users who violate laws and regulations, and report relevant information to authorities in accordance with laws and regulations. You shall bear all legal liabilities arising therefrom independently. 9.4 For any breach, infringement, or illegal act committed by you that causes us or third parties to incur claims, losses, damages, liabilities, costs, expenses (including but not limited to attorney fees), you shall be fully liable for compensation. And when you violate laws, regulations, or the terms of this Agreement, we reserve the right to freeze and/or deduct all or part of the fees payable to you as liquidated damages. If such liquidated damages are insufficient to compensate our losses, we reserve the right to pursue further claims against you. 9.5 For any property or personal damage caused by third parties, please notify us immediately. We will assist in communicating with the third party for negotiation. During this process, please allow us reasonable preparation and communication time. 9.6 To the maximum extent permitted by law, we shall only be liable for the services specified in this Agreement, with compensation capped at one (1) times the service fee charged for the specific services provided. Additionally, we and our affiliates bear independent liability. 9.7 Unless otherwise required by law, our compensation covers only direct losses and excludes indirect losses, incidental damages, special damages, consequential damages, punitive damages, incidental damages, goodwill damages, profit losses, etc. 10. Governing Law and Dispute Resolution 10.1 The execution, validity, interpretation, and enforcement of this Service Agreement, as well as dispute resolution under this Agreement, shall be governed by the laws of the People's Republic of China. 10.2 Any disputes arising from this Service Agreement shall be resolved through friendly consultations. If negotiations fail, either party may file a lawsuit with the competent People's Court at the place where this Agreement was executed. The execution location is Shinan District, Qingdao City, Shandong Province, People's Republic of China. 10.3 During the litigation proceedings, both parties shall continue to perform other provisions of this Agreement not covered by litigation. 11. Miscellaneous Provisions 11.1 This Agreement supersedes any prior written or oral agreements between Scostar.cn and the Registered Supplier concerning the same matters. Should any provision of this Agreement be found invalid or unenforceable, such provision shall be rescinded, and the remaining provisions shall remain enforceable. 11.2 Clause headings are provided for reference purposes only and in no way define, restrict, interpret, or limit the scope or extent of the respective clauses. 11.3 The failure of Scostar.cn to take action against a breach by the Registered Supplier or any other party does not constitute a waiver of Scostar.cn's right to take action against subsequent or similar breaches.
