Supplier Service Agreement

1.[Reminder Terms]

This Service Agreement is signed by SCOSTAR.cn and the registered supplier who intends to set up a store on the SCOSTAR.cn platform as an independent third-party operator (hereinafter referred to as "you" or "registered supplier" or "supplier" or "seller") and has the force of a contract. The terms and conditions set forth in this Service Agreement apply to the use of SCOSTAR.cn's various tools and services by SCOSTAR.com's registered suppliers. Once you agree to this Service Agreement, this Service Agreement will immediately become legally binding between you, the supplier you represent and SCOSTAR.cn.

The ways in which you agree to this Agreement and other rules include but are not limited to:

A.Accept by clicking "I Agree" or other means;

B.Oral or written expressions made by email, telephone,fax,instant messaging,etc.;

C.There are "default consent" clauses in this Agreement and other rules (including but not limited to service instructions and usage help, etc.), and you click to agree or actually use our services in other forms;

D.Other methods that you and we both agree to.

This service agreement includes the text of this agreement and all the rules, instructions for use, service help, etc. that SCOTAR.com has publicly released or may publicly release in the future (hereinafter referred to as the "Service Rules"). All public rules are an integral part of the agreement and have the same legal effect as the text of the agreement. The rights and obligations under the service rules shall be performed by SCOSTAR (Hong Kong) International Trading Co., Ltd. You should also read and understand the service rules and accept them together.

SCOSTAR.cn has the right to formulate and modify this agreement or various rules from time to time as needed within the scope permitted by law. If there are any changes to this agreement, SCOSTAR.cn will publicly solicit opinions on the website in accordance with relevant legal provisions and publicize the changes to notify SCOSTAR.com registered suppliers. If SCOSTAR.cn registered suppliers do not agree to the relevant changes, they must stop using the "Service". The revised agreement will automatically take effect immediately after it is published on the SCOSTAR.com website and meets the statutory requirements for the publicity period. All kinds of rules will become part of this Agreement after they are published and take effect. Logging in or continuing to use the "Service" will mean that the SCOSTAR.cn registered supplier accepts the revised agreement. Unless otherwise explicitly stated, any new content that expands the scope of the "Service" or enhances the website's functionality is subject to this Agreement.

2.SCOSTAR.cn Supplier Registration and Qualification Certification

2.1 SCOSTAR.cn Supplier Account

2.1.1 SCOSTAR.cn Supplier refers to an individual or organization that has submitted a certification application to SCOSTAR.cn through the SCOSTAR.cn supplier registration process and obtained SCOSTAR.com's permission to sell goods to users on the SCOSTAR.cn page. After the above registration process, SCOSTAR.cn will assign the corresponding SCOSTAR.cn supplier account to the SCOSTAR.cn supplier.

2.1.2 SCOSTAR.cn supplier account is the basis for us to identify you and provide services to you. Since the SCOSTAR.cn supplier account is closely related to your contact information and supplier business information, if you use the services we provide, you should be responsible for maintaining the confidentiality of your login account and restricting third parties from using/accessing your computer or mobile device, and ensuring that your login password (if you set it) is not disclosed to any third party.

2.2 Qualifications of SCOSTAR.cn Registered Suppliers

2.2.1 SCOSTAR.cn registered suppliers must be entities or individuals with legal business qualifications and meet SCOSTAR.cn's business qualification review conditions for suppliers:

(1) Suppliers must hold market entity registration in accordance with the law;

(2) If the goods or services sold by the supplier require the relevant business entity or administrative license for the goods or services, the relevant supplier and such specific goods or services must obtain administrative licenses in accordance with the law;

(3) The above market entity registration qualifications and administrative licenses for goods and services must be reviewed and approved by SCOSTAR.cn and passed regular verification by SCOSTAR.cn;

(4) The person who completes the SCOSTAR.cn supplier registration procedure and the person who conducts transactions on SCOSTAR.cn on behalf of the supplier must have the legal authorization allowed by the supplier to act on its behalf and must be a natural person with full civil capacity.

2.2.2 If a company registered as a SCOSTAR.cn supplier does not meet any of the provisions of the above 2.2.1, once discovered, SCOSTAR.cnhas the right to immediately suspend all use rights of the supplier's SCOSTAR.cn account. The losses caused by this will be borne by the supplier. SCOSTAR.cn also reserves the right to pursue the supplier's losses and all other legal liabilities caused by the supplier's use of the SCOSTAR.cn network "service".

2.3 Supplier Qualification Certification Rules

2.3.1 General Qualification Requirements and Instructions

(1)Having registered and obtained a SCOSTAR.cn registered supplier account;

(2)The natural person must be between 18 and 70 years old and be a Chinese citizen with full civil capacity;

(3)The enterprise should be an enterprise in mainland China or Hong Kong.

(4)If the supplier is a company, it should be a company established and validly existing in accordance with the laws of mainland China and the Hong Kong Special Administrative Region, with full legal personality and capacity. If the supplier is a natural person, he/she shall be a natural person with full civil capacity; and he/she shall be able to perform the obligations under this Agreement and such performance of obligations shall not violate any restrictions of any legal documents binding on the supplier.

(5)SCOSTAR.cn  has the right to review the supplier's certification information and decide whether to approve the supplier's certification application. If the supplier passes the certification of SCOSTAR.com, SCOSTAR.com will provide the supplier with a product display page on SCOSTAR.com ("Product Page"); after meeting the SCOSTAR.com store application procedures, SCOSTAR.cn will provide the supplier with a store page ("Store Page"). The supplier has the right to maintain the product page or store page and shall continuously publicize the business license information, administrative license information related to its business (if any), or the link mark of the above information, business address, telephone email and other effective contact information in a prominent position on the homepage of the product/store page, and update the public information in a timely manner when the above information changes; if the supplier is a natural person, he/she shall agree that SCOSTAR.com has the right to load a mark proving the authenticity and legality of the personal identity information and an explanation of the situation where market entity registration is not required in a prominent position on the homepage of the supplier's store page in accordance with the law.

(6) The supplier fully understands and agrees that SCOSTAR.cn has the right to disclose the certification materials and other necessary information provided to SCOSTAR.cn on the SCOSTAR.cn platform to third parties (including but not limited to users, market supervision and management departments, tax departments, etc.) in accordance with relevant laws, regulations and platform rules.

(7) For the sake of clarity, the certification conducted by SCOSTAR.cn does not exempt the supplier from the statutory and contractual responsibilities that the supplier should bear as a seller for the quality of the goods/services it provides and the warranty of rights defects. If the certification materials provided by the supplier are untrue, false, forged, expired, incomplete or otherwise defective, the supplier shall fully compensate SCOSTAR.cn and other SCOSTAR.cn users for all losses suffered thereby, and SCOSTAR.cn has the right to terminate this agreement immediately and remove the supplier and its information from the corresponding interface of SCOSTAR.cn.

(8)If one or more items of the supplier's certification materials other than the principal information are changed or expired, incomplete or otherwise defective, the supplier shall immediately change or supplement the information; SCOSTAR.com has the right to verify from time to time whether the supplier's certification materials are true, valid and complete. If SCOSTAR.com finds that the supplier's information has not been changed or supplemented in a timely manner, SCOSTAR.cn has the right to suspend the provision of services and require the supplier to update the information. The risks, losses and consequences arising therefrom shall be borne by the supplier itself, and SCOSTAR.com has the right to remove the supplier's relevant information from the corresponding interface of SCOSTAR.cn and suspend or terminate the provision of services to it. The supplier shall be solely responsible for the losses caused thereby.

2.3.2 Number of registered accounts

(1)The number of enterprise seller accounts registered with the same business license shall not exceed 10;

(2)The number of individual seller accounts registered with the same identity information is limited to 1.

2.3.3 Compliance of certification information

(1)Compliance of store name

If the seller's user name violates the following regulations, SCO Star has the right to modify the seller's user name or close the store based on the scope and severity of the impact:

A.It is not allowed to use only the name of China, the national flag, national emblem, military flag, medals, the name of a specific location where the central government agencies are located, or the name of a landmark building, unless the company name itself contains the aforementioned content;

B.It is not allowed to use only the name of a foreign country;

C.It is not allowed to contain information that violates national laws and regulations, infringes on the rights of others, or interferes with the operation of the SCO Star website;

D.It is not allowed to use only the place names of administrative divisions above the county level or foreign place names known to the public

E.It shall not be exaggerated and deceptive

F.It shall not contain obscene, insulting, discriminatory or aggressive words;

G.It shall not contain language with ethnic discrimination, racial discrimination, hatred, sexual and obscene information or other offensive words

H.It shall not be ambiguous enough to mislead users or infringe the legitimate rights and interests of other users or third parties;

I.It shall not contain contact information, including email address, website, phone number, QQ number, MSN address, etc.;

J.It shall not contain third-party brand words (including the official name of SCOSTAR.cn), celebrity names, etc.;

K.It shall not contain misleading words, such as "PowerSeller", "TopSeller", etc.;

L.It shall not infringe on the registered trademark rights of others;

M.It is a store founded by an individual, but the name contains "company/group" or other words, misleading users into thinking that the store is actually founded by an enterprise or controlled by an enterprise;

N.The name content shall not contain other situations that violate the requirements of current laws, regulations and normative documents. (2) Identity information compliance

Enterprise sellers shall submit the following information to SCOSTAR.com for verification:

A.Enterprise business license information (should contain the "unified social credit code number");

B.Email address;

C.Valid contact person;

D.Valid contact mobile phone number;

E.Valid contact address/business address;

F.Proof of market entity registration in accordance with the law (except for individuals selling self-produced agricultural and sideline products, family handicraft products, individuals using their own skills to engage in convenient labor activities and sporadic small-scale transactions that do not require a license in accordance with the law, and those that do not need to be registered in accordance with laws and administrative regulations)

G.If the products to be released are required to obtain relevant administrative licenses in accordance with the law, the administrative licenses shall be submitted to SCOSTAR.com. For details, please refer to the requirements of the "Business Category Management Rules".

H.If the products to be released require the sellers of the products to obtain administrative licenses in accordance with the law, the administrative licenses shall be submitted to SCOSTAR.com. For details, please refer to the requirements of the "Business Category Management Rules".

If the enterprise seller does not obtain the above enterprise or product qualification license, SCOSTAR.com has the right to immediately block, delete the relevant products or enterprise store pages, or freeze the relevant enterprise seller accounts when it finds that the enterprise seller qualification license or product qualification license is lacking or incomplete.

I.Other information required by SCOSTAR.com.

J.The registrant must be the legal person of the registered company, or the full representative authorized by the company to operate the relevant enterprise store. For details, please refer to the "Power of Attorney" format.

K.The registered company is the holder and full responsible person of the SCO Star website seller account.

L.The information of the seller and the registrant should be true, valid and complete.

Individual sellers shall submit the following information to SCOSTAR.cn for verification:

A.ID card information;

B.Email address;

C.Valid contact mobile phone number;

D.Valid contact address/business address;

E.Proof of market entity registration in accordance with the law. If the registration is not required, a "Statement and Commitment of No Market Entity Registration" shall be issued;

F.If the pending product needs to obtain relevant administrative licenses in accordance with the law, the administrative license shall be submitted to SCOSTAR.cn.

G.If the pending product requires the seller of the product to obtain administrative licenses in accordance with the law, the administrative license shall be submitted to SCOSTAR.cn.

If the individual seller does not obtain the above-mentioned entity or product qualification license, SCOSTAR.com has the right to immediately block, delete the relevant product or personal store page, or freeze the relevant individual seller account when it is found that the individual seller qualification license or product qualification license is lacking or incomplete.

H.Other information required by SCOSTAR.cn.

I.The registrant must be the account holder and the person with full responsibility.

2.3.4 Payment of certification fee: Suppliers must pay the certification fee in accordance with the process instructed by SCOSTAR.cn. Failure to pay the certification fee will be deemed as giving up the certification application.

2.4 Responsibility for supplier accounts and activities under the account

2.4.1 Suppliers shall bear all responsibilities for all activities under the registered account. If the account is used or controlled by a third party without SCOSTAR.cn's intentional or faulty reasons, the supplier shall bear the relevant legal responsibilities and losses.

2.4.2 In order to avoid disputes, suppliers shall not transfer supplier accounts for a fee or free of charge without SCOSTAR.cn's prior consent. Otherwise, they shall bear any liability arising therefrom, and SCOSTAR.com reserves the right to pursue the legal liability of the above-mentioned persons.

3.Rights and obligations of SCOSTAR.cn registered suppliers

3.1 Provide and update supplier information truthfully

SCOSTAR.com registered suppliers are obliged to provide their true information in accordance with SCOSTAR.com's requirements when registering, update relevant information in a timely manner when it changes, and ensure that information such as email address,The validity and security of the contact phone number, contact address, postal code, etc., ensure that SCOSTAR.com and other SCOSTAR.com purchasers (hereinafter referred to as "purchasers" or "buyers") can contact themselves through the above contact information. SCOSTAR.cn registered suppliers shall ensure that they do not register or authenticate on the SCOSTAR.com website with unauthorized third-party information, otherwise the losses of third parties and SCOSTAR.com caused by this shall be borne by such SCOSTAR.com registered suppliers.

3.2 Authorization of SCOSTAR.com to display certificates and licenses

SCOSTAR.com registered suppliers shall authorize and cooperate with SCOSTAR.cn to continuously publicize business license information, administrative license information related to its business operations or link logos of the above information in a prominent position on the homepage of the registered supplier, and update the publicized information in a timely manner when the aforementioned information changes. The specific form of publicity shall be based on the unified standards announced by SCOSTAR.cn.

If the registered supplier does not need to register as a market entity according to law and provides relevant explanations and commitments, SCOSTAR.cn has the right to explain or display special logos in a prominent position on the homepage of the registered supplier.

3.3 Obligation for Intellectual Property Protection

3.3.1 The supplier information of SCOSTAR.cn registered suppliers ("Supplier Information") includes any information provided to SCOSTAR.cn or other users in any public information occasion or through email, internal mail or other forms during the process of registering an account, trading or publishing products, including but not limited to the supplier information, product information, any data, text, software, music, sound, photos, pictures, images, words or other materials provided in Article 3.1. SCOSTAR.cn registered suppliers shall ensure that their supplier information and other published information will not infringe on the intellectual property rights or other legal rights of any third party, will not violate any laws, regulations, rules or regulations, and shall bear full responsibility for them. SCOSTAR.cn only serves as a channel for you to publish and post supplier information and other published information online. SCOSTAR.cn registered suppliers shall not use the relevant services provided by SCOSTAR.com with generative artificial intelligence to produce, copy, publish, and disseminate information prohibited by laws and administrative regulations, and shall not use the relevant services to engage in activities prohibited by laws and administrative regulations such as endangering national security and interests, damaging the national image, infringing on social public interests, disrupting economic and social order, and infringing on the legal rights and interests of others. However, if SCOSTAR.cnbelieves that any of the aforementioned information published by the supplier may cause SCOSTAR.cn to bear any legal or moral responsibility, or may cause SCOSTAR.cn to lose (in whole or in part) the services of SCOSTAR.cn's Internet service provider or other suppliers, SCOSTAR.cn may, at its sole discretion, take any action that SCOSTAR.cn deems necessary or appropriate with respect to the supplier information and information published, including but not limited to blocking or deleting such information. SCOSTAR.cn registered suppliers shall guarantee and confirm that they have all rights to the supplier information and other published information submitted to SCOSTAR.com, including all copyrights; SCOSTAR.cn is not responsible for identifying or determining which information submitted by registered suppliers to SCOSTAR.cn should be protected, and SCOSTAR.cn is not responsible for the use of publicly published supplier information and other published information by other users or other third parties who enjoy the "Service".

3.3.2 The SCOSTAR.com platform prohibits the sale and display of products that infringe intellectual property rights. SCOSTAR.com is committed to protecting intellectual property rights and is willing to cooperate with law enforcement agencies and intellectual property rights holders to manage the relevant products logged in and uploaded or displayed by SCOSTAR.cn registered suppliers.

3.3.3 SCOSTAR.cn is committed to fulfilling the intellectual property protection obligations stipulated in the "E-Commerce Law" and is willing to cooperate with intellectual property rights holders to help them solve related problems. SCOSTAR.cn has formulated the "Intellectual Property Protection Rules and Intellectual Property Rights Holder Certification Program" to facilitate intellectual property rights holders to report items that infringe their rights. In view of the fact that infringing items will damage the trust of buyers and honest suppliers, SCOSTAR.com will take reasonable measures in accordance with relevant laws and regulations to protect the legitimate rights and interests of intellectual property rights holders.

3.4 Fees

3.4.1 It is particularly pointed out that the supplier quotations for all products entered into the SCOSTAR.com website include SCOSTAR.cn's commission and the bank turnover fees incurred after the transaction is successful (for specific proportions and pricing methods, please refer to the "Help" information on the SCOSTAR.com supplier page). SCOSTAR.com registered suppliers have the responsibility and obligation to maintain and modify price information in real time according to actual conditions. If a transaction cannot be executed or causes losses to others due to errors in product prices or other product information, untimely product updates, etc., all responsibilities and consequences shall be borne by the registered supplier of SCOSTAR.cn.

3.4.2 As a neutral technical service provider, this platform only provides information release, transaction matching and technical support services, and does not directly participate in transactions. The platform does not make any express or implied guarantees for transactions between suppliers and buyers. "Registered suppliers are responsible for paying all taxes and office expenses incurred by using SCOSTAR.cn for transactions, obtaining paid services or accessing SCOSTAR.com network servers.

3.4.3 SCOSTAR.cn has the right to charge you for services. SCOSTAR.com will notify you of the specific charging rules in advance and display them on the relevant rules page of SCOSTAR.cn.

3.5 Product Release and Order Fulfillment

3.5.1 The products sold or services provided by SCOSTAR.cn registered suppliers on the SCOSTAR.com trading platform shall comply with the requirements for personal and property safety and environmental protection. They shall not sell or provide prohibited or restricted items, any items that may cause SCOSTAR.cn to violate any relevant laws, regulations, ordinances or rules, or any items that infringe on the intellectual property rights or other legal rights of others, or any items that violate the public interest or public morality, or items that SCOSTAR.cn deems unsuitable for sale on SCOSTAR.com. If SCOSTAR.com finds that the products sold by the supplier do not comply with the SCOSTAR.com platform rules, SCOSTAR.com has the right to immediately remove, block, and delete the links to such products, and impose penalties on SCOSTAR.com suppliers.

3.5.2 SCOSTAR.cn registered suppliers shall issue paper invoices or electronic invoices and other purchase receipts or service documents in accordance with the law when selling goods or providing services. Electronic invoices have the same legal effect as paper invoices.

3.5.3 SCOSTAR.cn registered suppliers shall disclose product or service information in a comprehensive, truthful, accurate and timely manner to protect the buyers' right to know and right to choose. They shall not make false or misleading commercial propaganda by fictitious transactions or fabricated user reviews to deceive or mislead buyers. When sending advertisements to buyers, they shall comply with the relevant provisions of the "Advertising Law of the People's Republic of China".

3.5.4 SCOSTAR.cn registered suppliers shall draw the attention of buyers in a prominent manner when bundling goods or services, and shall not make bundling goods or services as a default consent option.

3.5.5 SCOSTAR.cn registered suppliers shall deliver goods or services to buyers in the manner and time limit promised or agreed with buyers, and bear the risks and responsibilities in the transportation of goods. However, this does not apply if the buyer selects a courier logistics service provider or there are other contrary provisions in the applicable law.

3.5.6 Suppliers are responsible for supplying goods to buyers in accordance with the legally effective orders of buyers on the SCOSTAR.cn platform, including supply time, location, quantity, configuration, quality, price and other trade conditions. Suppliers are responsible for the quality, safety and legality of products, including relevant compulsory certification and intellectual property rights.

3.5.7 SCOSTAR.cn registered suppliers should, upon receipt of SCOSTAR.cn After receiving the order payment notification, we will start preparing the goods and ship them on schedule according to the terms of the order. When the buyer receives the goods and confirms that they are correct, SCOSTAR.com will release the money to the supplier. SCOSTAR.com registered suppliers are obliged to apply for payment to SCOSTAR.cn after confirming that the goods have been delivered to the freight company. After verification, SCOSTAR.cn will release the money to the supplier. If a trade dispute arises due to terms such as quality and quantity, the buyer and seller will negotiate and resolve it themselves or through arbitration, litigation and other methods permitted by law. After the dispute is resolved, SCOSTAR.com will deliver the goods in accordance with the ruling or judgment or the agreement reached by both parties.

3.5.8 SCOSTAR.cn registered suppliers should maintain communication with SCOSTAR.cn at any time, confirm whether the goods have been delivered after sending them, and keep shipping records so that they can provide sufficient evidence in the event that the payment is withdrawn by Paypal, so that SCOSTAR.com can help suppliers coordinate this situation.

3.5.9 Suppliers are responsible for after-sales service of products, and the content of after-sales service is subject to order information. Suppliers shall bear the costs incurred due to after-sales service during the warranty period.

3.6 Personal Information Protection

3.6.1 If SCOSTAR.cn registered suppliers collect and use the personal information of buyers, they shall comply with applicable laws, administrative regulations and SCOSTAR.com's provisions on personal information protection.

3.6.2 The contact name, contact phone number, ID number, business license number, unified social credit certificate and related verification materials submitted by SCOSTAR.cnregistered suppliers to SCOSTAR.com in accordance with the SCOSTAR.com service rules are necessary documents for SCOSTAR.cn registered suppliers to fulfill their legal obligations for supplier information certification. In order to verify the authenticity of supplier information, SCOSTAR.com has the right to submit such verification materials to a third-party legal institution and verify their authenticity. Such verification shall not be deemed as SCOSTAR.cn violating the corresponding personal information protection obligations.

3.6.3 In order to fulfill the needs of laws, regulations or regulatory authorities, SCOSTAR.com has the right to submit your above-mentioned identity information and tax-related information to the corresponding regulatory authorities or their authorized agencies. Such information submission shall not be deemed as SCOSTAR.com violating the corresponding personal information protection obligations.

3.6.4 SCOSTAR.cnregistered suppliers agree to receive business promotion information from the SCOSTAR.com website.

3.7 Fair competition obligations

3.7.1 SCOSTAR.cn registered suppliers shall ensure that they abide by the principle of honesty and trustworthiness when using the SCOSTAR.cn online wholesale trading platform, do not abuse their dominant market position, do not engage in unfair competition during transactions, do not disrupt the normal order of online transactions, and do not engage in behaviors unrelated to online transactions. They shall not maliciously evaluate SCOSTAR.com's registered buyers or other registered suppliers on the SCOSTAR.cn trading platform, or use improper means to improve their own credit or reduce the credit of SCOSTAR.com's registered buyers or other registered suppliers.

3.7.2 SCOSTAR.cn registered suppliers agree not to use the information and materials on the SCOSTAR.com website for commercial purposes, including but not limited to using any materials displayed on the SCOSTAR.com website by copying, disseminating, etc. without the prior written approval of SCOSTAR.com.

3.8 Non-infringement obligations

3.8.1 SCOSTAR.com registered suppliers promise that all actions they take when using SCOSTAR.com comply with the laws and regulations of the country where they reside and the place where the transaction takes place, the relevant provisions of SCOSTAR.cn, and various social public interests or public morals. For any legal consequences, SCOSTAR.com registered suppliers will independently bear all corresponding legal responsibilities in their own name.

3.8.2 SCOSTAR.cn registered suppliers agree that if SCOSTAR.com suffers any losses, is subject to claims from any third party, or is punished by any administrative department due to their violation of relevant laws or the provisions of this Agreement or infringement of the rights of a third party, SCOSTAR.com registered suppliers shall compensate SCOSTAR.com for all losses caused.

3.8.3 The supplier promises that all product information, pictures, videos and other content it publishes are original or have obtained legal authorization. If there is an intellectual property dispute caused by the content provided by the supplier, the supplier shall bear all legal responsibilities and compensate the platform for the losses suffered thereby. "

3.9 Obligations that cannot be crossed

3.9.1 Suppliers guide customers to bypass the SCOSTAR.cn platform and conduct offline transactions or transactions without selling, which is a serious violation of this service agreement, including but not limited to: leaving their own contact information on the product description page or product picture; leaving their own contact information in the inquiry reply; directly or indirectly asking or leaving their own contact information in the message to the buyer, and leaving their own contact information by various means when mailing goods, so as to achieve the purpose of offline transactions. Once discovered, SCOSTAR.cn will take the following measures against SCOSTAR.com's suppliers depending on the severity of the case:

(1)Give the supplier a warning

4.Rights, responsibilities and obligations of SCOSTAR.cn website

4.1 SCOSTAR.cn only provides product display and online wholesale trading platform for registered suppliers of this website; however, SCOSTAR.cn does not directly participate in the buying and selling behavior itself as a buyer or supplier. SCOSTAR.com cannot ensure the authenticity, accuracy, legality and validity of buyers and related information, and the ability of both parties to perform their obligations under the trade agreement, etc., but SCOSTAR.cn will take measures to supervise and evaluate the purchaser, and make the evaluation results public, and remind SCOSTAR.com registered suppliers to determine the purchaser and its credit status through their own careful judgment.

4.2 SCOSTAR.com will maintain the normal operation of the entire online trading platform based on existing technology, and strive to upgrade and improve technology to ensure the smooth online trading activities of SCOSTAR.com registered suppliers. However, SCOSTAR.cn does not assume any responsibility for short-term network interruptions caused by data maintenance and updates.

4.3 SCOSTAR.cn should respond promptly to any problems and reflections related to transactions or registrations encountered by SCOSTAR.com registered suppliers in registering and using the SCOSTAR.com online wholesale trading platform.

4.4 For any improper behavior, illegal behavior or any other situation that SCOSTAR.com believes should terminate the service on the SCOSTAR.cn online trading platform, SCOSTAR.cn has the right to delete relevant information, freeze accounts, terminate service provision, etc. at any time without obtaining the consent of SCOSTAR.com's registered suppliers.

4.5 Due to the particularity of the online trading platform, except for the mandatory provisions of laws and regulations, SCOSTAR.com has no obligation to conduct a prior review of all trading behaviors of all SCOSTAR.com registered suppliers and other matters related to the transaction, but if the following situations exist:

4.5.1 SCOSTAR.cn registered suppliers or other third parties notify SCOSTAR.cn that a specific SCOSTAR.cn registered supplier or specific transaction may have major problems;

4.5.2 SCOSTAR.cn registered suppliers or other third parties inform SCOSTAR.COM that there are illegal or improper behaviors on the trading platform, SCOSTAR.cn judges the relevant content based on the knowledge level of ordinary non-professional traders, and it can be clearly considered that these contents or behaviors are illegal or improper in nature;

SCOSTAR.cn has the right to choose to retain or delete relevant information or continue or stop providing services to the SCOSTAR.cn registered supplier according to different situations, and pursue relevant legal responsibilities.

4.6 As an electronic trading platform, SCOSTAR.cn will follow the following principles:

4.6.1 Except for fulfilling legal obligations, SCOSTAR.cn will never create, review, edit, check or approve the content logged in by users;

4.6.2 After the transaction, SCOSTAR.cn is not responsible for transportation, storage or delivery. The item will be directly transferred from the supplier to the buyer; the item itself is never held by SCOSTAR.cn or under the control of SCOSTAR.COM;

4.6.3 SCOSTAR.cn never allows buyers and sellers to conduct offline transactions and is not responsible for transactions that violate regulations;

4.6.4 SCOSTAR.cn cannot have professional knowledge of the products, trademarks, copyrights, patents, distribution rights and price systems of third-party intellectual property rights holders.

4.6.5 SCOSTAR.cn's service content may contain content generated by generative artificial intelligence. Such services are provided on an "as is" and "as available" basis and are not guaranteed to be flawless. To the maximum extent permitted by law, SCOSTAR.com disclaims any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, etc. SCOSTAR.com registered suppliers must bear the corresponding risks of using generative artificial intelligence services.

4.7 SCOSTAR.cn will not and cannot be involved in the transactions of the parties to the transaction. If a dispute arises between a SCOSTAR.cn registered supplier and other suppliers or purchasers using SCOSTAR.cnservices, SCOSTAR.cn registered suppliers shall exempt SCOSTAR.cn from any (actual and consequential) claims, demands and damages of different types and natures arising from such disputes or in any way related to such disputes.

4.8 If a registered supplier finds that other registered suppliers have violated the law or this service agreement, they can report it to SCOSTAR.cn and request processing. If a registered supplier has a dispute with other registered buyers of SCOSTAR.cn during the online transaction on SCOSTAR.com, and the buyer requests SCOSTAR.cn to mediate and resolve the dispute, both parties shall agree to allow SCOSTAR.com to check the original contract, transaction records, communication records and other information on the platform of both parties, and accept and implement the coordination decision of SCOSTAR.cn. If a registered supplier of SCOSTAR.cn has a lawsuit with other registered suppliers or buyers of SCOSTAR.com due to online transactions, the registered supplier of SCOSTAR.com has the right to request SCOSTAR.cn to provide relevant information through the judicial department.

4.9 If a registered supplier of SCOSTAR.cn has a dispute with a buyer during the online transaction on SCOSTAR.com, and the buyer requests SCOSTAR.cnto mediate and resolve the dispute, SCOSTAR.com has the right (but not the obligation) to mediate and resolve the above dispute. SCOSTAR.cnhas the right to contact both parties of the dispute via email to understand the situation and notify each other of the situation learned via email. SCOSTAR.com's mediation and handling results of the above disputes are not legally enforceable, nor do they affect any legal rights of registered suppliers and buyers. SCOSTAR.cn makes its own judgment based on its understanding of the dispute, but does not bear any legal responsibility for the mediation and handling results, nor should it bear any compensation obligations for assisting in handling disputes.

4.10 If a SCOSTAR.cn registered supplier has a lawsuit with other SCOSTAR.com registered suppliers or buyers due to online transactions on SCOSTAR.cn, the SCOSTAR.cn registered supplier requires SCOSTAR.com to provide relevant information through the judicial or administrative departments in accordance with legal procedures, and SCOSTAR.com should actively cooperate and provide relevant information.

4.11 If a SCOSTAR.cn registered supplier is confirmed to have committed illegal acts by a national legal document or administrative penalty decision, or if SCOSTAR.com has sufficient facts or legal basis to determine that a SCOSTAR.com registered supplier has committed illegal acts or violated the service agreement, SCOSTAR.com has the right to publish the illegal acts of SCOSTAR.cn registered suppliers on the SCOSTAR.cn website in the form of online publication.

4.12 For the following types of information published by SCOSTAR.cn registered suppliers on the SCOSTAR.cn trading platform, including but not limited to:

4.12.1 For the purpose of avoiding fees; for the purpose of hyping credit;

4.12.2 SCOSTAR.cn has reason to believe that there is fraud or other malicious or false content;

4.12.3 SCOSTAR.cn has reason to believe that it is not related to online transactions or is not for the purpose of transactions;

4.12.4 SCOSTAR.cn has reason to believe that there are malicious bidding or other factors that attempt to disrupt the normal trading order;

4.12.5 SCOSTAR.cn has reason to believe that the information violates relevant laws and regulations, violates the public interest, or may seriously damage the legitimate interests of SCOSTAR.com and other SCOSTAR.com registered suppliers or buyers.

SCOSTAR.com has the right to delete or take other restrictive measures without notifying SCOSTAR.com registered suppliers.

4.13 Permitted use rights. SCOSTAR.cn Registered Suppliers hereby grant SCOSTAR.com an exclusive, worldwide, perpetual, royalty-free license (with the right to sublicense such rights) to use, copy, modify, adapt, publish, translate, distribute, perform and display (in whole or in part) all information posted by SCOSTAR.com Registered Suppliers on the Website or to create derivative works thereof, and/or to incorporate such information into other works in any form, media or technology now known or later developed.

The necessary authorization and consent of SCOSTAR.cn Registered Suppliers does not necessarily imply SCOSTAR.cn's use of the content generated by SCOSTAR.cn Registered Suppliers in the process of generative artificial intelligence services, nor does it change SCOSTAR.com Registered Suppliers' ownership of the generated content and its intellectual property rights, nor does it affect any legal use of user content by SCOSTAR.cn Registered Suppliers.

4.14 Privacy Policy.

Notwithstanding the licensed use rights set forth in Section 4.12 above, SCOSTAR.cn will not sell or lend the personal information of SCOSTAR.cn registered suppliers to anyone, unless the supplier has given prior permission; nor will it allow any third party to collect, edit, sell or disseminate the supplier's personal information by any means. However, SCOSTAR.com reminds SCOSTAR.com registered suppliers that once suppliers voluntarily disclose supplier information on SCOSTAR.com, such information may be obtained and used by other persons, and supplier information may be partially or fully disclosed in the following circumstances:

4.14.1 Disclosure to a third party with the supplier's consent;

4.14.2 If the party is a qualified intellectual property complainant and has filed a complaint, the information shall be disclosed to the respondent upon the written request of the respondent so that both parties can deal with possible rights disputes;

4.14.3 Disclosure to a third party or administrative or judicial institution in accordance with relevant legal provisions or the requirements of administrative or judicial institutions;

4.14.4 Disclosure to a third party is required if the supplier violates relevant Chinese laws or website policies;

4.14.5 Supplier information must be shared with a third party in order to provide the products and services required by the supplier;

4.14.6 Other disclosures that SCOSTAR.com deems appropriate in accordance with the law or website policies, but SCOSTAR.com will ensure compliance with the provisions of Chinese laws and regulations. 4.15 Disclaimer

SCOSTAR.com registered suppliers expressly understand and agree that SCOSTAR.com shall not be liable for any damages arising from any of the following circumstances, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses:

4.15.1 Use or inability to use SCOSTAR.cn services;

4.15.2 Unauthorized access by a third party or modification of your transmissions or data by a third party;

4.15.3 Statements or actions of a third party regarding the website services; or any other matters related to the website caused by any reason, including negligence.

4.15.4 The payment for goods transacted between SCOSTAR.cnregistered suppliers and SCOSTAR.com buyers may be complained by the buyers to Paypal, credit card organizations or credit card issuers, resulting in Paypal ruling in favor of the buyers or the buyers refusing to pay. In this case, SCOSTAR.com registered suppliers should actively cooperate. SCOSTAR.com will help them communicate with Paypal or credit card organizations, credit card issuers and purchasers based on the evidence provided by SCOSTAR.com registered suppliers. However, since the final result of this situation is not controlled and determined by SCOSTAR.com, SCOSTAR.cn does not bear the transaction losses caused by it.

4.16 Transfer. SCOSTAR.cn registered suppliers hereby confirm and agree that SCOSTAR.com has the right to unilaterally transfer this agreement without obtaining their consent.

4.17 SCOSTAR.com registered suppliers hereby confirm and agree that SCOSTAR.com has the right to use the funds you leave in SCOSTAR.com to offset all or part of your debt to SCOSTAR.cn, if permitted by law.

5. Suspension and Termination of Services

5.1 SCOSTAR.cn Registered Suppliers agree that SCOSTAR.cn may, at its sole discretion, terminate the SCOSTAR.com Registered Supplier's "Service" password, account (or any part thereof) or your use of the "Service" for any reason (including but not limited to SCOSTAR.cn's belief that you have violated the letter and spirit of this Agreement, or acted in a manner inconsistent with the letter and spirit of this Agreement, or you have not logged into the website with your account and password for more than 90 days, etc.), and delete (no longer save) the "SCOSTAR.com Registered Supplier Information" submitted by SCOSTAR.com Registered Suppliers in the use of the "Service". Subject to the relevant obligations of publicity and other obligations stipulated in the "E-Commerce Law", SCOSTAR.cn has the right to decide to stop providing the "Service" or any part thereof. After the account is terminated, SCOSTAR.cn has no obligation to retain any information in or related to the original account for you, or forward any information that has not been read or sent to you or a third party, except for the information related to your account that should be retained in accordance with the mandatory provisions of the law. In addition, you agree that SCOSTAR.cn will not be liable to you or any third party for terminating your access to the "Service".

5.2 If a SCOSTAR.cn registered supplier proposes to SCOSTAR.cn to cancel its registered supplier status, SCOSTAR.cn will review and agree to cancel its registered supplier status, and the SCOSTAR.cn registered supplier will terminate the service agreement relationship with SCOSTAR.cn, but it should continue to publicize the relevant information in a prominent position on the homepage thirty days in advance. After canceling the SCOSTAR.cn registered supplier account, SCOSTAR.cn still reserves the following rights:

5.2.1 The registered supplier's personal information may be deleted or anonymized in accordance with the requirements of applicable laws. Other content and information retained by the registered supplier on SCOSTAR.com may also be preserved in accordance with the period and method prescribed by law.

5.2.2 After the SCOSTAR.cn registered supplier is cancelled, if the SCOSTAR.com registered supplier has committed illegal acts or breached the contract on the SCOSTAR.cn trading platform before cancellation, SCOSTAR.com may continue to store the registered supplier's personal information on the SCOSTAR.com trading platform.m may still exercise the rights stipulated in this Service Agreement.

5.2.3 SCOSTAR.cn may close the transaction orders generated by the registered supplier during the term of this Agreement, and may decide at its own discretion to refund the fees or deduct the relevant fees as liquidated damages.

5.3 SCOSTAR.cn has the right to terminate the service by canceling the SCOSTAR.cn registered supplier in the following circumstances:

5.3.1 SCOSTAR.cn has the right to suspend or terminate the provision of services to the SCOSTAR.cn registered supplier when the SCOSTAR.cn registered supplier violates the relevant provisions of this Service Agreement. SCOSTAR.cn will notify the SCOSTAR.cn registered supplier when the service is interrupted. However, if the SCOSTAR.com registered supplier once again directly or indirectly or in the name of another person after being terminated from providing services by SCOSTAR.com, SCOSTAR.cn has the right to immediately or unilaterally refuse or terminate the provision of services to the SCOSTAR.com registered supplier upon discovery of such situation;

5.3.2 If SCOSTAR.cn contacts the SCOSTAR.cn registered supplier through the information provided by the SCOSTAR.cn registered supplier and finds that the email address filled in by the SCOSTAR.cn registered supplier during registration no longer exists or cannot receive emails, SCOSTAR.cn notifies the SCOSTAR.cn registered supplier of the change by other contact methods, and the SCOSTAR.cn registered supplier still fails to provide a new email address within three working days, SCOSTAR.cn has the right to terminate the provision of services to the SCOSTAR.cn registered supplier;

5. 3.3 Once SCOSTAR.cn finds that there is false information in the supplier information of a SCOSTAR.com registered supplier, SCOSTAR.cn has the right to terminate the provision of services to the SCOSTAR.cn registered supplier at any time;

5.3.4 Once SCOSTAR.cn finds that a SCOSTAR.cn supplier has left its own contact information on the product description page or product picture; left its own contact information in the inquiry reply; directly or indirectly asked or left its own contact information in the message to the buyer, and left its own contact information by various means when mailing goods, SCOSTAR.cn has the right to terminate the service to the SCOSTAR.cn registered supplier at any time;

5.3.5 When th
